These Terms of Service (“Terms”) govern your access to and use of the websites, online store, donation pages, memberships, subscriptions, promotions, giveaways, products, services, applications, communications, and related features offered by Punch 4 Parkinson’s Corporation (“Punch 4 Parkinson’s,” “P4P,” “we,” “us,” or “our”).

By accessing or using our website, making a purchase, making a donation, creating an account, participating in a promotion or giveaway, subscribing to a membership, signing up for email or text communications, or otherwise using our services, you agree to these Terms.

If you do not agree to these Terms, you should not use our website, services, promotions, memberships, or communications.

1. Eligibility

You must be at least 18 years old, or the age of majority in your state of residence, to make purchases, subscribe to memberships, donate, participate in giveaways, or use our services.

By using our services, you represent that you have the legal authority to enter into these Terms and that your use of our services complies with all applicable laws.

2. Use of Our Services

You agree to use our website, services, promotions, and communications only for lawful purposes and in accordance with these Terms.

You agree not to:

• Violate any applicable law, rule, or regulation;

• Misuse our promotions, entries, memberships, donation systems, or communications;

3. Purchases, Donations, Memberships, and Subscriptions

Punch 4 Parkinson’s may offer products, donations, memberships, subscriptions, promotional entries, and related services through our website or third-party platforms.

By completing a purchase, donation, membership, subscription, or other transaction, you agree to provide accurate billing, contact, and payment information.

Memberships and subscriptions may renew automatically unless canceled according to the terms disclosed at signup or checkout. You are responsible for managing and canceling your membership or subscription before the applicable renewal date.

Certain benefits, entries, discounts, access rights, or communications may only be available to active members or eligible users.

4. Refunds and Cancellations

Donations and purchases are generally non-refundable unless otherwise required by law or expressly stated by us in writing.

Subscriptions and memberships may be canceled according to the cancellation instructions provided at signup, checkout, in your account, or through our customer support channels.

Canceling a subscription or membership may stop future billing, but it may not automatically reverse prior charges, donations, entries, benefits, or fulfilled services.

5. Giveaways, Promotions, and Entries

From time to time, Punch 4 Parkinson’s may offer giveaways, sweepstakes, contests, promotions, or entry-based campaigns.

Each promotion may be subject to separate official rules, eligibility requirements, entry methods, deadlines, prize descriptions, winner selection procedures, and restrictions. If there is a conflict between these Terms and the official rules for a specific promotion, the official rules will control for that promotion.

No purchase is necessary to enter or win where required by law. Void where prohibited.

6. Email Communications

By providing your email address, subscribing, creating an account, making a purchase, making a donation, entering a promotion, or otherwise interacting with us, you may receive emails from Punch 4 Parkinson’s, including promotional, transactional, administrative, account-related, donation-related, membership-related, and customer service communications.

You may unsubscribe from marketing emails by using the unsubscribe link included in our marketing emails or by contacting us using the information provided below.

If you unsubscribe from marketing emails, we will honor your request as required by applicable law. You may still receive non-promotional transactional or administrative emails where permitted by law, such as purchase confirmations, donation receipts, membership billing notices, account updates, customer service responses, security notices, legal notices, or other messages related to an existing transaction or relationship.

7. SMS/MMS Text Message Communications

By providing your mobile telephone number and opting in to receive text messages from Punch 4 Parkinson’s, you agree to receive recurring SMS and/or MMS text messages from or on behalf of Punch 4 Parkinson’s. These messages may include promotional messages, personalized marketing messages, donation updates, giveaway updates, membership updates, cart reminders, event updates, account notices, and other communications.

Message frequency may vary. Message and data rates may apply. Consent to receive marketing text messages is not a condition of purchase or donation.

You may opt out of marketing text messages at any time by replying STOP to any text message from us. You may also request help by replying HELP or by contacting us using the contact information below.

After you opt out of marketing text messages, we will honor your request as required by applicable law. You may still receive non-promotional transactional or administrative text messages where permitted by law, such as purchase confirmations, donation receipts, membership billing notices, account updates, customer service responses, security notices, legal notices, or other messages related to an existing transaction or relationship.

We may use third-party service providers, including SMS, MMS, email, marketing automation, ecommerce, payment, analytics, and customer support providers, to deliver and manage communications.

Carriers are not liable for delayed or undelivered messages.

8. Communication Preferences and Do Not Contact Requests

You are responsible for providing accurate contact information and updating your information if it changes.

We maintain internal suppression, unsubscribe, and do-not-contact processes for marketing communications. If you believe you received a marketing email or text message after opting out, please contact us immediately at the contact information below so we can investigate and address the issue.

A request to stop marketing communications does not prevent us from sending non-promotional transactional, administrative, account-related, security-related, legally required, or customer service communications where permitted by law.

9. Intellectual Property

All content on our website and services, including text, graphics, logos, images, videos, designs, page layouts, software, trademarks, trade names, service marks, and other materials, is owned by or licensed to Punch 4 Parkinson’s and is protected by intellectual property laws.

12. Disclaimer of Warranties

To the fullest extent permitted by law, Punch 4 Parkinson’s disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and uninterrupted operation.

We do not guarantee that our website, services, communications, or platforms will be error-free, uninterrupted, secure, or free from viruses or harmful components.

13. Limitation of Liability

To the fullest extent permitted by law, Punch 4 Parkinson’s and its officers, directors, employees, volunteers, agents, partners, vendors, service providers, affiliates, and representatives will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, loss of goodwill, or business interruption, arising out of or relating to your use of our website, services, products, memberships, donations, promotions, giveaways, communications, or these Terms.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to these Terms or our services will not exceed the greater of: (a) the amount you paid to Punch 4 Parkinson’s in the three months before the claim arose; or (b) $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Punch 4 Parkinson’s and its officers, directors, employees, volunteers, agents, partners, vendors, service providers, affiliates, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your use of our website, services, promotions, memberships, donations, or communications;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Your violation of any rights of another person or entity;
• Any information you submit, provide, or transmit through our services.

15. Binding Arbitration Agreement

Please read this section carefully. It requires you and Punch 4 Parkinson’s to resolve most disputes through binding individual arbitration instead of in court. It also limits the manner in which you and Punch 4 Parkinson’s can seek relief from each other.

You and Punch 4 Parkinson’s agree that any dispute, claim, or controversy arising out of or relating in any way to these Terms, our website, products, services, donations, memberships, subscriptions, promotions, giveaways, entries, communications, text messages, emails, marketing, privacy practices, data practices, purchases, payments, refunds, cancellations, account activity, or any relationship or transaction between you and Punch 4 Parkinson’s will be resolved by binding individual arbitration, rather than in court, except as stated below.

This arbitration agreement includes, but is not limited to, claims arising under or relating to consumer protection laws, privacy laws, advertising laws, marketing laws, the Telephone Consumer Protection Act, the CAN-SPAM Act, state telemarketing laws, state consumer protection laws, contract law, tort law, fraud, misrepresentation, negligence, and any other federal, state, or local law, rule, or regulation.

The arbitrator will have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable.

16. Arbitration Procedures

The arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules, as modified by these Terms.

The arbitration will be conducted by a single neutral arbitrator.

The arbitration may be conducted by telephone, video conference, written submissions, or in person, as determined by the arbitrator and the applicable rules.

Unless otherwise required by law, the arbitration will take place in the county where you reside or another mutually agreed location.

The arbitrator may award the same individual damages and individual relief that a court could award, subject to the limitations in these Terms. The arbitrator may not award relief for or against anyone who is not a party to the individual arbitration.

Judgment on the arbitration award may be entered in any court of competent jurisdiction.

17. Class Action Waiver

To the fullest extent permitted by law, you and Punch 4 Parkinson’s agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, class member, or representative in any class action, collective action, consolidated action, private attorney general action, representative action, or other similar proceeding.

The arbitrator may not consolidate the claims of more than one person and may not preside over any form of class, collective, consolidated, private attorney general, or representative proceeding.

You and Punch 4 Parkinson’s expressly waive the right to a jury trial and the right to participate in a class action, collective action, consolidated action, private attorney general action, representative action, or other similar proceeding.

If a final decision by a court of competent jurisdiction determines that the class action waiver in this section is unenforceable as to a particular claim or request for relief, then that claim or request for relief may proceed in court, but only after all arbitrable claims and requests for relief are resolved in arbitration.

18. Exceptions to Arbitration

Either you or Punch 4 Parkinson’s may bring an individual claim in small claims court if the claim qualifies and remains in small claims court.

Either you or Punch 4 Parkinson’s may seek temporary or preliminary injunctive relief in court to protect intellectual property rights, confidential information, account security, platform security, or to prevent unauthorized use or abuse of our services.

19. Arbitration Opt-Out

You may opt out of the arbitration agreement in these Terms by sending a written notice of your decision to opt out within 30 days after you first become subject to this arbitration agreement.

Your opt-out notice must include your full name, mailing address, email address, phone number if applicable, and a clear statement that you want to opt out of the arbitration agreement in the Punch 4 Parkinson’s Terms of Service.

Opting out of arbitration will not affect any other part of these Terms.

20. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration agreement.

21. Changes to These Terms

We may update these Terms from time to time. When we update these Terms, we will revise the effective date above.

Your continued use of our website, services, memberships, promotions, donations, communications, or other offerings after updated Terms are posted means you accept the updated Terms.

If we make material changes to the arbitration agreement or class action waiver, we may provide notice as required by applicable law.

22. Survival

Any provisions of these Terms that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, arbitration, class action waiver, governing law, and dispute resolution.

The arbitration agreement and class action waiver survive cancellation, unsubscribe, account closure, membership termination, subscription cancellation, transaction completion, and termination of your relationship with Punch 4 Parkinson’s.
